YoUni Beta Legal Terms

Terms of Service

YoUni is a beta-stage online learning platform. It is not a college or university, does not award accredited credit or degrees unless YoUni expressly says so in a separate signed writing, and is offered on an evolving, experimental basis with limited operator commitments.

1. Agreement to these terms

These Terms of Service govern your access to and use of YoUni, including the website, applications, content, classes, readers, assessments, AI-assisted study features, transcript-style records, billing flows, support flows, and related services (collectively, the “Service”). By creating an account, clicking to accept, starting a free trial, beginning a paid plan, or otherwise using the Service, you agree to be bound by these terms and the Privacy Policy, Acceptable Use Policy, Sensitive Data Policy, Billing & Refund Terms, and any feature-specific, assessment-specific, or course-specific rules that YoUni posts or presents to you.

The Service is offered on a beta basis. Features, grading flows, course content, records, AI assistance, scoring models, trial terms, workflows, and availability may change, pause, or stop at any time, with or without notice, for maintenance, product revisions, legal compliance, business reasons, security reasons, abuse prevention, or any other legitimate operational reason.

YoUni is not designed to receive or store highly sensitive personal information. You must not upload, transmit, paste, or otherwise submit restricted sensitive data into the Service.

If you submit prohibited sensitive data, you do so in violation of these terms and at your own risk. YoUni may reject, quarantine, delete, or refuse to process that material without notice and may suspend or terminate related accounts or workflows. See the Sensitive Data Policy.

You may use the Service only for lawful, authorized learning, support, and account management purposes. You may not:

YoUni may offer free trials, introductory offers, monthly plans, annual plans, discounts, or promotional pricing. When YoUni presents paid checkout, the specific price, trial length, renewal timing, billing frequency, and cancellation terms shown at checkout become part of your agreement with YoUni.

9. User content, feedback, and license

You retain ownership of content you lawfully submit, such as written responses, notes, support messages, bug reports, uploaded materials, or optional work shown for explanations, subject to the rights you grant here. You grant YoUni and its operators, affiliates, contractors, processors, hosting providers, payment providers, AI providers, and service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, analyze, display, transmit, moderate, troubleshoot, secure, improve, and otherwise use that content as reasonably necessary to operate, maintain, protect, support, and enforce the Service.

If you provide feedback, ideas, product requests, or suggestions, YoUni may use them without restriction or compensation to you.

You represent and warrant that you have all rights necessary to submit your content and that your content does not violate law, contract, privacy rights, publicity rights, or third-party intellectual-property rights.

10. Third-party services and materials

The Service may rely on or link to third-party infrastructure, payment processors, AI providers, email providers, hosting providers, analytics tools, embedded media, or other external services. YoUni does not control and is not responsible for third-party services, content, terms, policies, uptime, or acts and omissions. Your use of third-party services may be governed by separate terms and policies.

11. YoUni intellectual property

The Service, including platform design, books, course structure, software, branding, text, assessments, generated materials, datasets, scoring logic, and other platform content, is owned by YoUni or its licensors and protected by intellectual-property and other laws. Except for the limited right to use the Service as authorized here, no rights are granted to you.

12. Suspension, termination, and records handling

YoUni may suspend, restrict, or terminate access immediately and without liability if it reasonably believes that doing so is necessary for security, abuse prevention, legal compliance, infringement handling, charge risk, nonpayment, policy enforcement, minors issues, platform integrity, or other legitimate operational reasons.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is,” “as available,” and without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, uninterrupted availability, accuracy, reliability, educational outcome, compatibility, security, or error-free operation.

YoUni does not provide legal, medical, mental-health, financial, accreditation, licensure, admissions, immigration, employment, tax, or other regulated professional advice through the Service, and nothing in the Service creates a fiduciary, advisory, agency, school, employment, or professional-services relationship.

14. Limitation of liability

To the maximum extent permitted by law, YoUni and its owners, operators, affiliates, contractors, licensors, service providers, employees, and agents (the “YoUni Parties”) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, educational opportunity, business interruption, substitute-service costs, or reputational harm, arising out of or related to the Service, even if advised of the possibility of those damages.

To the maximum extent permitted by law, the aggregate liability of the YoUni Parties for any claim arising out of or relating to the Service will not exceed the greater of (a) one hundred U.S. dollars (US $100) or (b) the amount you paid directly to YoUni for the Service in the 12 months before the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless the YoUni Parties from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

To the maximum extent permitted by law, any claim arising out of or relating to the Service or these terms must be brought within one year after the events giving rise to the claim first occurred, or the claim is permanently barred.

17. Dispute resolution, arbitration, and class-action waiver

Before filing a claim, you agree to try to resolve the dispute informally by contacting YoUni through the support page and describing the issue in enough detail to allow a good-faith resolution attempt.

Except for small-claims matters, requests for injunctive relief regarding misuse or intellectual-property issues, or claims that cannot legally be arbitrated, any dispute arising out of or relating to the Service or these terms will be resolved by binding individual arbitration, not in court, and not as a class, collective, consolidated, representative, or private-attorney-general action, to the maximum extent permitted by law.

If a claim proceeds in court instead of arbitration, you and YoUni agree to the exclusive jurisdiction and venue of the state or federal courts located in New Jersey, and each party waives any objection to that forum to the maximum extent permitted by law.

18. Governing law

These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules, except to the extent superseded by applicable federal law or mandatory consumer-protection law that cannot be waived.

19. Electronic communications and notices

You consent to receive agreements, disclosures, notices, receipts, transactional messages, security messages, and other communications electronically, including by website posting, dashboard notice, or email where available. You are responsible for keeping your contact information current.

20. Changes to the Service or these terms

YoUni may modify the Service, pricing, policies, or these terms at any time. Updated terms become effective when posted or when otherwise communicated to you, subject to any additional notice required by law. Your continued use of the Service after an update becomes effective constitutes acceptance of the revised terms.

These terms are designed as a strong beta operator-protection baseline, not a guarantee against claims and not a substitute for advice from a licensed attorney who can review YoUni’s entity structure, jurisdiction, payment practices, school/minor workflows, and actual business operations.
