Terms of Service

1. Agreement to these terms

These Terms of Service govern your access to and use of YoUni, including the website, applications, content, classes, readers, assessments, AI-assisted study features, transcript-style records, billing flows, support flows, and related services (collectively, the “Service”). By creating an account, clicking to accept, starting a free trial, beginning a paid plan, or otherwise using the Service, you agree to be bound by these terms and the Privacy Policy, Acceptable Use Policy, Sensitive Data Policy, Billing & Refund Terms, and any feature-specific, assessment-specific, or course-specific rules that YoUni posts or presents to you.

2. Eligibility, minors, and authority

• You must be at least 13 years old to use the Service.
• If you are under 18, you represent that a parent, guardian, or authorized school sponsor has reviewed and authorized your use of the Service.
• If you create, pay for, supervise, or manage an account for another person, you represent that you are authorized to do so and can bind that person to these terms to the extent permitted by law.
• YoUni may suspend, limit, or terminate accounts if it reasonably believes an account is underage, unauthorized, misrepresented, or being used in a manner inconsistent with these terms.

3. Beta status and no institutional, admissions, or outcome promises

The Service is offered on a beta basis. Features, grading flows, course content, records, AI assistance, scoring models, trial terms, workflows, and availability may change, pause, or stop at any time, with or without notice, for maintenance, product revisions, legal compliance, business reasons, security reasons, abuse prevention, or any other legitimate operational reason.

• YoUni does not promise admissions outcomes, transfer acceptance, licensure, employment, scholarships, exam scores, academic performance, accreditation, university recognition, or third-party acceptance of any work product, record, or result.
• Transcript-style, grade-style, score-style, or progress-style records inside the Service are platform records only unless YoUni expressly states otherwise in a separate signed writing.
• YoUni may revise classes, books, assessments, progression logic, and records without any obligation to preserve earlier versions, formats, rubrics, or outputs except where required by law.

4. Account responsibility and security

• You must provide accurate, current, and complete account information.
• You are responsible for all activity that occurs under your account and credentials.
• You must maintain the confidentiality of your login credentials and notify YoUni promptly if you suspect unauthorized access, misuse, or compromise.
• YoUni may impose session limits, step-up verification, anti-abuse controls, account holds, or other security measures at any time.

5. Sensitive data is prohibited

• Social security numbers or tax identifiers
• Government ID numbers or scans of identity documents
• Payment card, bank account, routing, or financial credentials
• Medical, health, insurance, treatment, or diagnostic information
• Biometric identifiers or templates
• Passwords, API keys, or secrets for other systems
• Personal data about another person that you are not authorized to disclose

If you submit prohibited sensitive data, you do so in violation of these terms and at your own risk. YoUni may reject, quarantine, delete, or refuse to process that material without notice and may suspend or terminate related accounts or workflows. See the Sensitive Data Policy.

6. Acceptable use

You may use the Service only for lawful, authorized learning, support, and account management purposes. You may not:

• Bypass or interfere with grading, progression, access, quota, billing, or security controls.
• Scrape, mirror, benchmark, train on, resell, redistribute, or commercially exploit the Service without permission.
• Upload malware, probe the platform, or attempt unauthorized access or privilege escalation.
• Use the Service to cheat, impersonate, mislead, harass, threaten, or conduct unlawful activity.
• Upload infringing, unlawful, defamatory, abusive, or privacy-violating material.
• Use the Service to store, process, or transmit prohibited sensitive data or regulated data.
• Use automated tools to extract content, reverse engineer workflows, or defeat usage limits.

7. Course content, AI assistance, grades, and assessments

• YoUni may enforce prerequisites, attempt limits, quiz locks, exam restrictions, time limits, progression rules, restarts, and integrity controls.
• Practice results, quizzes, exams, AI-assisted explanations, predictions, and transcript-style records may be created, scored, saved, revised, reset, invalidated, or removed according to platform rules or operator judgment.
• AI-assisted explanations, hints, summaries, study plans, or prediction tools are informational tools only. They may be incomplete, approximate, or incorrect and are not guaranteed to be authoritative, professional, or suitable for high-stakes decisions.
• YoUni may correct grading, progression, readiness, mastery, or recordkeeping errors when reasonably necessary.
• YoUni may investigate integrity or misuse issues and may invalidate work, revoke results, reset progress, or suspend accounts where misuse is reasonably suspected.

8. Paid plans, free trials, renewals, taxes, and cancellation

YoUni may offer free trials, introductory offers, monthly plans, annual plans, discounts, or promotional pricing. When YoUni presents paid checkout, the specific price, trial length, renewal timing, billing frequency, and cancellation terms shown at checkout become part of your agreement with YoUni.

• A free trial or promotion may be limited, revoked, modified, or denied where YoUni reasonably suspects misuse, duplicate-account abuse, charge risk, or policy evasion.
• Unless otherwise stated at checkout, subscriptions renew automatically until canceled.
• You authorize YoUni and its payment processors to charge the selected payment method for subscription fees, taxes, and any other amounts you expressly authorize.
• Unless required by law or expressly stated at checkout, payments are non-refundable, partial periods are not prorated, and downgrades or cancellations take effect at the end of the then-current paid term.
• YoUni may change pricing or billing terms prospectively. New pricing applies no earlier than the next billing period after required notice.

9. User content, feedback, and license

You retain ownership of content you lawfully submit, such as written responses, notes, support messages, bug reports, uploaded materials, or optional work shown for explanations, subject to the rights you grant here. You grant YoUni and its operators, affiliates, contractors, processors, hosting providers, payment providers, AI providers, and service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, analyze, display, transmit, moderate, troubleshoot, secure, improve, and otherwise use that content as reasonably necessary to operate, maintain, protect, support, and enforce the Service.

If you provide feedback, ideas, product requests, or suggestions, YoUni may use them without restriction or compensation to you.

You represent and warrant that you have all rights necessary to submit your content and that your content does not violate law, contract, privacy rights, publicity rights, or third-party intellectual-property rights.

10. Third-party services and materials

The Service may rely on or link to third-party infrastructure, payment processors, AI providers, email providers, hosting providers, analytics tools, embedded media, or other external services. YoUni does not control and is not responsible for third-party services, content, terms, policies, uptime, or acts and omissions. Your use of third-party services may be governed by separate terms and policies.

11. YoUni intellectual property

The Service, including platform design, books, course structure, software, branding, text, assessments, generated materials, datasets, scoring logic, and other platform content, is owned by YoUni or its licensors and protected by intellectual-property and other laws. Except for the limited right to use the Service as authorized here, no rights are granted to you.

12. Suspension, termination, and records handling

YoUni may suspend, restrict, or terminate access immediately and without liability if it reasonably believes that doing so is necessary for security, abuse prevention, legal compliance, infringement handling, charge risk, nonpayment, policy enforcement, minors issues, platform integrity, or other legitimate operational reasons.

• YoUni may preserve or disclose logs and records as reasonably necessary for those purposes.
• YoUni may remove, reset, lock, or delete content, records, grades, attempts, or account data as part of enforcement or cleanup.
• Your sections 9, 11, 13 through 21, and any payment obligations survive termination.

13. Disclaimers

YoUni does not provide legal, medical, mental-health, financial, accreditation, licensure, admissions, immigration, employment, tax, or other regulated professional advice through the Service, and nothing in the Service creates a fiduciary, advisory, agency, school, employment, or professional-services relationship.

14. Limitation of liability

To the maximum extent permitted by law, YoUni and its owners, operators, affiliates, contractors, licensors, service providers, employees, and agents (the “YoUni Parties”) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, educational opportunity, business interruption, substitute-service costs, or reputational harm, arising out of or related to the Service, even if advised of the possibility of those damages.

To the maximum extent permitted by law, the aggregate liability of the YoUni Parties for any claim arising out of or relating to the Service will not exceed the greater of (a) one hundred U.S. dollars (US $100) or (b) the amount you paid directly to YoUni for the Service in the 12 months before the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless the YoUni Parties from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your use of the Service
• Your violation of these terms or any YoUni policy
• Your submitted content or feedback
• Your infringement or violation of another person’s rights
• Your submission of prohibited sensitive data or unauthorized third-party data
• Your misuse of the Service on behalf of a school, employer, organization, or minor
• Your fraud, misconduct, chargeback abuse, or unlawful activity

16. Time limit for claims

To the maximum extent permitted by law, any claim arising out of or relating to the Service or these terms must be brought within one year after the events giving rise to the claim first occurred, or the claim is permanently barred.

17. Dispute resolution, arbitration, and class-action waiver

Before filing a claim, you agree to try to resolve the dispute informally by contacting YoUni through the support page and describing the issue in enough detail to allow a good-faith resolution attempt.

Except for small-claims matters, requests for injunctive relief regarding misuse or intellectual-property issues, or claims that cannot legally be arbitrated, any dispute arising out of or relating to the Service or these terms will be resolved by binding individual arbitration, not in court, and not as a class, collective, consolidated, representative, or private-attorney-general action, to the maximum extent permitted by law.

If a claim proceeds in court instead of arbitration, you and YoUni agree to the exclusive jurisdiction and venue of the state or federal courts located in New Jersey, and each party waives any objection to that forum to the maximum extent permitted by law.

18. Governing law

These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules, except to the extent superseded by applicable federal law or mandatory consumer-protection law that cannot be waived.

19. Electronic communications and notices

You consent to receive agreements, disclosures, notices, receipts, transactional messages, security messages, and other communications electronically, including by website posting, dashboard notice, or email where available. You are responsible for keeping your contact information current.

20. Changes to the Service or these terms

YoUni may modify the Service, pricing, policies, or these terms at any time. Updated terms become effective when posted or when otherwise communicated to you, subject to any additional notice required by law. Your continued use of the Service after an update becomes effective constitutes acceptance of the revised terms.

21. General terms

• If any part of these terms is held invalid or unenforceable, the remaining terms will remain in effect to the fullest extent permitted by law.
• YoUni’s failure to enforce any term is not a waiver of that term or any other term.
• YoUni will not be liable for delay or failure caused by events beyond its reasonable control, including outages, infrastructure failures, acts of government, labor issues, internet failures, attacks, or force majeure events.
• You may not assign these terms without YoUni’s prior written consent. YoUni may assign these terms in connection with a financing, merger, asset transfer, reorganization, or sale.
• These terms, together with the incorporated policies and any checkout disclosures actually presented to you, are the entire agreement between you and YoUni regarding the Service.
